Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Qantara platform ("Service"), operated by Focal Point ("Focal Point," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Service Description

Qantara is a social media management and automation platform that enables businesses to:

  • Connect and manage social media accounts (including Instagram, Facebook, and other supported platforms)
  • Create, schedule, and publish content across multiple platforms
  • View analytics and performance insights for connected accounts
  • Manage workflows and automate social media operations
  • Collaborate with team members on content management

The Service is provided on a subscription basis. Features and limitations may vary depending on your selected plan.

2. Account Registration & Eligibility

2.1 Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By registering, you represent that you meet these requirements.

2.2 Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate, current, and complete information during registration
  • You must promptly notify us of any unauthorized use of your account
  • You may not share, transfer, or sell your account to another party without our consent

2.3 Organization Accounts

If you create an account on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. The organization is responsible for all users added to its account.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

  • Violate any applicable local, national, or international law or regulation
  • Infringe on the intellectual property rights of others
  • Post, schedule, or distribute content that is defamatory, obscene, threatening, or otherwise objectionable
  • Use the Service to send spam, bulk unsolicited messages, or engage in deceptive practices
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Use the Service to distribute malware, viruses, or other harmful code
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use automated means (bots, scrapers) to access the Service except through our provided APIs
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, redistribute, or sublicense the Service without our express written permission
  • Violate the terms of service of any connected third-party platform (including Meta, Instagram, Facebook)

4. Connected Third-Party Platforms

4.1 Platform Compliance

When using the Service to manage content on third-party platforms (e.g., Instagram, Facebook), you must comply with each platform's terms of service, community guidelines, and policies. We are not responsible for enforcement actions taken by third-party platforms against your accounts.

4.2 Authorization

By connecting a social media account to Qantara, you authorize us to access and interact with that account on your behalf using the permissions you grant. You may revoke this authorization at any time by disconnecting the account from your Qantara dashboard.

4.3 Platform Availability

Third-party platform integrations depend on the availability and continued support of those platforms' APIs. We do not guarantee uninterrupted access to any third-party platform and are not liable for changes, restrictions, or outages imposed by third-party platforms.

5. Content & Intellectual Property

5.1 Your Content

You retain all ownership rights to content you create, upload, or publish through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely for the purpose of providing the Service.

5.2 Our Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Focal Point and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our express written permission.

5.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use them without any obligation to compensate you.

6. Data Handling & Privacy

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

Key data handling principles:

  • All sensitive data (tokens, credentials) is encrypted at rest using AES-256-GCM
  • Data is transmitted exclusively over TLS/HTTPS
  • Tenant data is logically isolated across the platform
  • You can disconnect accounts and request data deletion at any time

7. Subscription & Billing

7.1 Plans & Pricing

The Service is offered under various subscription plans. Pricing, features, and usage limits are described on our website and may be updated from time to time with reasonable notice.

7.2 Payment

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You agree to provide valid payment information and authorize us to charge the applicable fees.

7.3 Refunds

Refund policies are determined by your subscription plan. Unless otherwise stated or required by law, subscription fees are non-refundable.

8. Service Availability & Modifications

8.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied
  • We do not warrant that the Service will be error-free, secure, or uninterrupted
  • We are not liable for any actions taken by third-party platforms regarding your accounts or content
  • In no event shall Focal Point, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless Focal Point and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your Content or content published through your account
  • Your violation of these Terms
  • Your violation of any third-party rights or applicable laws

11. Termination

11.1 By You

You may terminate your account at any time by contacting us at app@focalpoint.sa or through your account settings. Upon termination, your access to the Service will cease and your data will be handled in accordance with our Privacy Policy.

11.2 By Us

We may suspend or terminate your access to the Service at any time if:

  • You violate these Terms or our Acceptable Use policy
  • Your account is involved in fraudulent or illegal activity
  • You fail to pay applicable subscription fees
  • Continued provision of the Service to you is no longer commercially viable

We will provide reasonable notice before termination unless immediate action is required to protect the Service or other users.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period as described in our Privacy Policy to allow you to export it. Sections of these Terms that by their nature should survive termination will remain in effect.

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

12.2 Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the competent courts in Riyadh, Kingdom of Saudi Arabia.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Focal Point regarding the Service and supersede any prior agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
